Brado India Seller Agreement
This Seller Agreement (“Agreement”) is made effective as of the date of acceptance by the Seller (“Seller”) by and between Brado India (“Platform”) and the undersigned Seller who wishes to list, sell, and distribute products on the Platform.
1. Definitions
- Platform: Brado India, an online marketplace for B2B transactions.
- Seller: The party agreeing to the terms, which could be a manufacturer or an individual seller.
- Buyer: Any entity or individual purchasing products from the Platform.
- Products: Goods offered by the Seller for sale through the Platform.
2. Seller Responsibilities
2.1 Product Quality: The Seller guarantees that all products listed on the Platform meet the agreed-upon quality standards. Products must comply with industry-specific norms, and all applicable laws and regulations regarding product quality.
2.2 Product Description: The Seller agrees to provide accurate, detailed descriptions of all products, including specifications, dimensions, materials, and other relevant characteristics.
2.3 Warranty of Products: The Seller warrants that the products are free from defects in material and workmanship, fit for the intended purpose, and in accordance with the provided product description.
2.4 Compliance: The Seller guarantees that all products meet applicable safety and regulatory standards, and the Seller holds all necessary licenses and permits to manufacture and sell the products.
3. Product Returns and Liability
3.1 Product Returns: If the Buyer finds the product to be defective, or not in accordance with the agreed quality standards, the Buyer has the right to return the product. The Seller agrees to accept the return and provide a full refund or replacement, as requested by the Buyer, subject to Platform return policies.
3.2 Return Period: Sellers agree to a minimum return window of 7 days from the date of delivery, during which the Buyer may return the product if quality concerns arise.
3.3 Return Costs: The Seller is responsible for all costs associated with returns, including shipping, handling, and restocking fees, where applicable.
3.4 Liability for Damaged or Defective Products: The Seller assumes full liability for any products that are found to be defective, counterfeit, or otherwise non-compliant with the description or industry standards. The Seller agrees to indemnify and hold Brado India harmless from any claims, damages, or lawsuits arising from such issues.
4. Payments and Fees
4.1 Transaction Fees: Brado India may charge transaction fees, listing fees, or commissions for each sale made through the Platform. The details of such fees will be outlined in a separate schedule.
4.2 Payment to Sellers: Payments for products sold through the Platform will be disbursed to the Seller after deducting applicable transaction fees, taxes, or penalties for returns or non-compliance. Payments will be processed within 5-7days of a successful sale, subject to Platform payment terms.
4.3 Disputes: Any disputes related to payments, refunds, or product returns will be resolved in accordance with the Platform’s dispute resolution policies.
5. Termination
5.1 Termination by the Platform: Brado India reserves the right to terminate this Agreement at any time if the Seller fails to comply with the terms and conditions set forth herein or engages in fraudulent or unethical business practices.
5.2 Termination by Seller: The Seller may terminate this Agreement by providing 15 days written notice, provided all outstanding orders, returns, and fees are settled prior to termination.
6. Intellectual Property
The Seller guarantees that all intellectual property rights (including trademarks, copyrights, patents) related to the products they sell are owned by the Seller or legally authorized for use.
7. Confidentiality
The Seller agrees not to disclose any confidential information regarding the Platform’s business practices, including buyer details, transaction data, or other proprietary information, without prior consent from Brado India.
8. Miscellaneous
8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Chennai,Tamil Nadu.
8.2 Force Majeure: Neither party shall be liable for any delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to acts of God, war, terrorism, strikes, or government actions.
8.3 Amendments: Brado India reserves the right to amend this Agreement from time to time, with the Seller’s continued use of the Platform constituting acceptance of such amendments.
